1. These Terms and Conditions

These terms and conditions, together with the invoice overleaf, constitute the entire agreement between the parties.

These terms and conditions are governed by the laws of England and Wales.

These terms and conditions cannot be varied other than as evidenced in writing and signed by Pressage.

These terms and conditions apply to all future transactions between the parties regarding the supply by Pressage of any goods or services to the Purchaser.

These terms and conditions, in whole or part, may be waived by Pressage in its absolute discretion, but any such waiver shall be limited to the particular circumstance and shall not constitute any general ongoing waiver of these terms and conditions.

2. Payment

Payment means cleared funds in sterling receipted in Pressage’s nominated bank account.

Payment in full is a precondition to dispatch to the Purchaser of any or all of the invoiced goods.

Payment is to be made within the time stipulated in the subject invoice.

3. Risk and Title

Risk and title, to the extent permitted by law, in the invoiced goods pass to the Purchaser immediately upon delivery, provided that the Purchaser has fully complied with clause 2. Otherwise title remains with Pressage, but the risk of loss or damage to the invoiced goods remains with the Purchaser.

4. Purchaser Acknowledgements

The Purchaser acknowledges, agrees, represents and warrants that, to the extent permitted by law, as the use of the invoiced goods is outside the control of Pressage, the Customer is satisfied that the invoiced goods when supplied in accordance with these terms and conditions have the characteristics, condition, quality and attributes that will make them suitable for or fit for the purpose required for the invoiced goods, even if that purpose is made known to Pressage.

The Purchaser has or will, in a timely manner, conduct a review of the invoiced products on receipt to ensure that they remain of the nature contemplated by the Purchaser for their designated use.

The Purchaser shall not permit the invoiced goods to be used by anyone that is not sufficiently trained in the application of the invoiced goods and shall apply the goods in the manner consistent with good veterinary practice.

The Purchaser has not relied upon any statement, representation, warranty, guarantee, condition, advice, recommendation, information, assistance or service provided by Pressage or anyone on its behalf in respect of the invoiced goods other than those set out on the Pressage website regarding the products the subject of the invoice.

The Purchaser acknowledges responsibility for any loss, injury, or damage arising out of any breach by the Purchaser of this clause 4.

The Purchaser hereby indemnifies Pressage, its officers, servants and agents against and releases them from all actions, claims, proceedings and demands howsoever arising and whether under common law, tort, equity or any other legal basis in respect of any breach by the Purchaser of this agreement.

5. Pressage’s Liability

Pressage’s liability in respect of any claim arising in any way under or in relation to this agreement, including the goods the subject of this agreement, is limited to the minimum extent required by any relevant legislation which precludes liability exclusion or, where no such legislation applies, to the replacement of the goods or the refund of the monies paid in accordance with clause 2 above by the Purchaser for such goods.

To the extent permitted by law, Pressage’s liability shall not extend to cover in any way special, indirect or consequential damages including, but not limited to, loss of profit, whether direct or indirect, or loss of business opportunity arising out of or in connection with the use of the invoiced goods or any breach by Pressage of this agreement.

6. Force Majeure

Pressage shall be under no liability whatsoever for the consequences of any failure on its part to perform all or any of its obligations under this agreement where such failure is due directly or indirectly to any event of force majeure.

Force majeure includes, but is not limited to, any acts of God, war, riots, strikes, lock-outs, trade disputes, fires, breakdowns, mechanical failures, interruptions of transport, Government action or inaction, or any other cause whatsoever, whether or not of a like nature to those specified above, that is outside the reasonable control of Pressage.

7. Trial / Multiple Unit Orders for Veterinary Practices

Where a veterinary practice is permitted to order two (2) Pressage units for evaluation or fitting purposes, the following conditions shall apply.

One unused Pressage unit must be returned to Pressage within twenty-one (21) days of receipt of the order.

Any returned Pressage unit must be unused and in a clean, hygienic and reusable condition; free from damage, excessive wear, alteration or contamination; and returned together with all original packaging, accessories, documentation and components supplied with the product.

Pressage reserves the right to determine, acting reasonably, whether a returned unit is in a suitable condition for resale or reuse.

If the additional Pressage unit is not returned within twenty-one (21) days of receipt, or if the returned unit does not comply with the conditions set out above, Pressage reserves the right to invoice the customer for the full purchase price of both Pressage units.

The customer shall remain responsible for the safe return of the unused Pressage unit until it has been received by Pressage.
